New York, NY - The Fisker Owners Association (FOA) has announced our conditional support for the proposed sale of 3,231 Fisker Ocean vehicles and assets to New York Uber lessor American Lease, subject to court approval in the current bankruptcy proceedings. This sale represents a significant step forward for existing owners, providing a path to ensure the long-term operability and support of our vehicles.

Fisker and American Lease have committed to continuing good faith conversations with the FOA regarding software and hardware solutions essential for the long-term use of all production Fisker Ocean vehicles. As a high-volume operator of Fisker Oceans, American Lease creates a commercially viable market for replacement parts, benefiting all owners. “As a high-volume operator of Fisker Oceans, American Lease would create a commercially viable market for replacement parts, which stands to benefit all owners. Fisker Ocean Owner Concerns‍

The FOA has identified key concerns likely to impact Fisker Ocean owners as a direct result of the asset sale to American Lease. These concerns include but are not limited to:

• Ensuring owners receive the maximum possible support for the continued use of their vehicles
• Securing long-term fair market price access to parts necessary for vehicle maintenance and repairs
• Maintaining long-term access to, or control of, critical infrastructure and software that underpins vehicle operation
• Securing an avenue for regular updates and/or patches needed to prevent performance issues, security vulnerabilities, and potential catastrophic failure
• Clearing existing NHTSA holds that may affect vehicle operability and safety

Conditions for FOA Support of the Asset Sale to American Lease‍

The FOA has proposed the following conditions for the fleet asset sale to American Lease:

• Crafting a commercially reasonable arrangement for parts access.
• Ensuring continued essential software updates on all Ocean vehicles.
• Addressing Stop-Sale Holds affecting existing (non-fleet) Fisker Ocean vehicles.

Additionally, the FOA reserves the right to object to any sale order that may:

• Restrict access to parts or supplies.
• Restrict access to necessary software updates.
• Restrict access to diagnostic and maintenance platforms.
• Restrict access to cloud services and connectivity.
